Fun with corporate entities
Apr. 12th, 2007 01:44 pmWe have a bajillion different corporate and LLC entities that oen various percentages of our current and past properties. One of the things I'm working on is sorting those out - making sure the ones we don't use are cancelled and that the ones we do use are current with fees and forms.
As a result, the following statements have actually made sense to me today:
BTW - now I know part of why so many companies incorporate in Delaware. Their form for cancellation of an LLC basically says "Hi - please dissolve my company. Here's my $100. Sure I can sign for them". It's only half a page long!
As a result, the following statements have actually made sense to me today:
- "Oops - I sent in the forms for reinstatement but I missed the forms that were late which caused us to be uninstated in the first place!" ( I think 'uninstated' is a perfectly good word)
- "You need to sign those forms in that order" (why?) "Because you're signing the first one as an officer of the company that you're dissolving with the second one"
- "In Illinois, if you ignore it, it WILL go away!" (if you're 5 months late with your paperwork they dissolve your corporation"
